1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Yex Labs, LLC ("Yex Labs," "we," "us," or "our"), a limited liability company organized under the laws of the State of Oregon, United States, with its principal place of business in Portland, Oregon.

By downloading, installing, accessing, or using the LivesLived mobile application ("App") or the website located at liveslived.app ("Website") (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Service.

You represent that you are at least 13 years of age. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Description of Service

LivesLived is an iOS application that helps users digitize and explore historical handwritten documents such as letters, journals, postcards, and other personal papers. The Service provides the following features:

  • Document Scanning: Capture images of handwritten documents using your device's camera.
  • AI Transcription: Convert handwritten text, including historical cursive, into machine-readable text using artificial intelligence.
  • Audio Narration: Generate spoken audio versions of transcribed documents using text-to-speech technology.
  • AI Chat: Ask questions about your documents and receive AI-generated responses.
  • Entity Extraction: Identify people, places, and other entities mentioned in your documents, and visualize relationships between them.
  • Geographic Mapping: View locations mentioned in your documents on an interactive map.

3. Account and Authentication

The App uses anonymous authentication provided by Firebase. You are not required to create a personal account or provide identifying information such as a name or email address to use the Service. An anonymous identifier is generated automatically when you first launch the App and is used solely to manage your session and usage quotas.

You are responsible for maintaining the security of the device on which the App is installed. If your device is lost, stolen, or compromised, we are not responsible for any unauthorized access to the Service through your anonymous session.

4. User Content and Ownership

"User Content" means any documents, images, text, or other materials you scan, upload, or otherwise provide to the Service, as well as any transcriptions, audio narrations, entity data, or other outputs generated by the Service from your materials.

You retain full ownership of your User Content. Yex Labs does not claim any ownership rights in your User Content. By using the Service, you grant Yex Labs a limited, non-exclusive, royalty-free license to process your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your User Content or stop using the Service.

You represent and warrant that you have all necessary rights, licenses, and permissions to use and submit your User Content to the Service, and that your User Content does not infringe upon or violate the intellectual property rights, privacy rights, or any other rights of any third party.

You are solely responsible for ensuring that all content you scan, upload, or process through the Service is lawful. You must not upload, scan, or otherwise provide any content that is illegal, unlawful, or prohibited under any applicable local, state, national, or international law. This includes, without limitation, content that constitutes or depicts child exploitation material, content that violates export control or sanctions laws, stolen or fraudulent documents, or any other material the possession or distribution of which is prohibited by law. Yex Labs assumes no liability whatsoever for User Content submitted to the Service. You agree to indemnify and hold Yex Labs harmless from any claims, damages, or legal consequences arising from your submission of unlawful content.

5. AI-Generated Content

The Service uses artificial intelligence to generate transcriptions, audio narrations, chat responses, entity extractions, and relationship data. You acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, omissions, or misinterpretations. Handwriting recognition, particularly of historical documents, is inherently imperfect.
  • Transcriptions should not be relied upon as the sole or authoritative record of a document's contents. You should independently verify any AI-generated output before relying on it for genealogical research, legal purposes, or any other important use.
  • Entity extractions, relationship graphs, and geographic mappings are interpretive and may not accurately reflect the true contents, intent, or context of the original documents.
  • Audio narrations are synthesized speech generated from transcribed text and may not accurately represent the tone, intent, or pronunciation of the original author.
  • AI chat responses are generated based on the content of your documents and general knowledge. They may produce inaccurate, incomplete, or misleading information.
  • The quality and accuracy of AI-generated content may vary depending on the legibility, condition, language, and age of the source documents.

Yex Labs makes no representations or warranties regarding the accuracy, completeness, or reliability of any AI-generated content.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Scan, upload, or process content that is unlawful, defamatory, obscene, threatening, or otherwise objectionable.
  • Infringe upon the intellectual property rights, privacy rights, or other rights of any third party.
  • Attempt to circumvent, disable, or otherwise interfere with usage quotas, rate limits, authentication mechanisms, or any other security or access-control features of the Service.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App or any component thereof.
  • Use automated scripts, bots, or other means to access the Service in a manner that exceeds reasonable use or places an undue burden on our infrastructure.
  • Resell, sublicense, or commercially redistribute the Service or any output generated by the Service without prior written consent from Yex Labs.
  • Interfere with or disrupt the integrity or performance of the Service or the servers or networks connected to it.

We reserve the right to investigate and take appropriate action against any violation of these Terms, including without limitation suspending or terminating your access to the Service.

7. Subscriptions, Billing, and Credits

The Service operates on a credit-based system with the following tiers:

  • Free Tier: 5 page scans, 5 audio narrations, 50 AI chat questions, and 5 entity extractions per month at no charge.
  • Monthly Plan: $9.99 per month for 50 page scans, 50 audio narrations, 1,000 AI chat questions, and 50 entity extractions per month.
  • Annual Plan: $59.99 per year for the same monthly allocations as the Monthly Plan.

Credit allocations reset at the beginning of each billing cycle. Unused credits do not roll over to subsequent periods.

All paid subscriptions are managed and billed through the Apple App Store. By purchasing a subscription, you agree to Apple's applicable terms and conditions for in-app purchases and subscriptions. Subscription payments are processed by Apple, and Yex Labs does not directly collect or process your payment information.

Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period. You may manage or cancel your subscription at any time through your Apple ID account settings.

Refunds are handled in accordance with Apple's refund policies. Yex Labs does not directly issue refunds for purchases made through the App Store. To request a refund, please contact Apple Support or visit reportaproblem.apple.com.

We reserve the right to modify pricing, credit allocations, and subscription tiers at any time. Any changes to pricing will not affect your current billing period and will take effect upon your next renewal.

8. Intellectual Property

The Service, including but not limited to the App, Website, source code, algorithms, user interface design, graphics, logos, trademarks, trade names, and all associated intellectual property (collectively, "Yex Labs IP"), is owned by Yex Labs, LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, Yex Labs grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a device you own or control, solely for your personal, non-commercial use. This license does not include the right to modify, distribute, sell, lease, or create derivative works based on the Service or any Yex Labs IP.

As stated in Section 4, you retain ownership of your User Content. Nothing in these Terms transfers any ownership of Yex Labs IP to you.

9. Third-Party Services

The Service relies on third-party services to deliver its functionality, including but not limited to:

  • Google Gemini: AI models for handwriting transcription, entity extraction, and chat functionality.
  • Google Firebase: Anonymous authentication, backend infrastructure, and cloud functions.
  • Google Maps: Geographic mapping and location visualization.
  • Apple App Store: App distribution, subscription management, and payment processing.
  • Additional AI Providers: The Service may integrate additional AI providers (such as OpenAI or Groq) from time to time to enhance functionality.

These third-party services are governed by their own terms of service and privacy policies. Yex Labs is not responsible for the availability, performance, accuracy, or policies of any third-party service. If a third-party service becomes unavailable or changes its terms, certain features of the Service may be temporarily or permanently affected.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the collection and use of information as described in the Privacy Policy. In the event of a conflict between these Terms and the Privacy Policy regarding data handling practices, the Privacy Policy shall control.

11. Data Storage and Backups

Your scanned documents, transcriptions, audio narrations, entity data, and other User Content are stored locally on your device. Yex Labs does not maintain copies of your User Content on its servers beyond what is temporarily necessary to process your requests through the Service.

You are solely responsible for backing up your data. Yex Labs is not liable for any loss, corruption, or destruction of User Content stored on your device, whether resulting from device failure, software updates, accidental deletion, or any other cause. We strongly recommend that you maintain independent backups of any documents or data that are important to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YEX LABS, LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your use of or inability to use the Service;
  • Any errors, inaccuracies, or omissions in AI-generated transcriptions, narrations, chat responses, entity extractions, or other output;
  • Any loss or corruption of data stored on your device;
  • Any unauthorized access to or alteration of your data or transmissions;
  • The conduct or content of any third party in connection with the Service;
  • Any interruption, suspension, or termination of the Service or any third-party service on which the Service depends.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF YEX LABS TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO YEX LABS (THROUGH APPLE) FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

13. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YEX LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WITHOUT LIMITING THE FOREGOING, YEX LABS DOES NOT WARRANT THAT:

  • The Service will be uninterrupted, timely, secure, or error-free;
  • AI-generated transcriptions, narrations, entity extractions, relationship data, geographic mappings, or chat responses will be accurate, complete, or reliable;
  • The results obtained from the use of the Service will meet your requirements or expectations;
  • Any errors in the Service will be corrected;
  • The Service will be compatible with any particular device, operating system version, or third-party software.

You acknowledge that you use the Service at your own risk and that you are solely responsible for any decisions or actions taken based on AI-generated content.

14. Indemnification

You agree to defend, indemnify, and hold harmless Yex Labs, LLC, its officers, directors, members, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Service;
  • Your User Content;
  • Your violation of these Terms;
  • Your violation of any applicable law, rule, or regulation;
  • Your violation of any rights of a third party, including intellectual property rights or privacy rights;
  • Any claim that your User Content caused damage to a third party.

This indemnification obligation shall survive the termination of these Terms and your use of the Service.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if we reasonably believe that you have violated these Terms or that your continued use of the Service poses a risk to Yex Labs, other users, or third parties.

You may stop using the Service at any time by deleting the App from your device. If you have an active subscription, you must cancel it through your Apple ID account settings to avoid future charges. Deleting the App alone does not cancel your subscription.

Upon termination, your right to use the Service will immediately cease. Sections 4, 5, 8, 12, 13, 14, 17, and 18 of these Terms shall survive termination.

16. Changes to Terms

We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. When we make material changes, we will update the "Effective Date" at the top of this page and, where practicable, provide notice through the App or Website.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel any active subscription.

We encourage you to review these Terms periodically to stay informed of any updates.

17. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict-of-law principles. To the extent that any lawsuit or court proceeding is permitted under these Terms, you and Yex Labs agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Multnomah County, Oregon, for the purpose of litigating any such dispute.

18. Dispute Resolution

Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact us at hello@liveslived.app and attempt to resolve the dispute informally for at least thirty (30) days. Most concerns can be resolved through direct communication.

Binding Arbitration. If a dispute cannot be resolved informally, you and Yex Labs agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including the determination of the scope or applicability of this agreement to arbitrate) shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in Portland, Oregon, or, at your election, may be conducted remotely by videoconference or telephone. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. YOU AND YEX LABS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights. Additionally, claims that qualify for small claims court in Multnomah County, Oregon may be brought in such court.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

20. Entire Agreement

These Terms, together with the Privacy Policy and any subscription-related terms presented to you through the Apple App Store at the time of purchase, constitute the entire agreement between you and Yex Labs with respect to the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Service.

21. Waiver

The failure of Yex Labs to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any provision shall be effective only if made in writing and signed by an authorized representative of Yex Labs.
